Policy

Terms and Conditions.

These terms apply to this website and to every product sold by Zentaro LLP.

Last updated: 12 October 2026

1. Who we are

This website and the products Zentaro Serve, Zentaro Stay, Zentaro Partner and Zentaro Attendance (the "Services") are provided by Zentaro LLP, a Limited Liability Partnership incorporated in India (LLPIN ADA-5302), with its registered office at E 405, Pristine Green, Phase 2, Dehu Moshi, Moshi, Pune, Maharashtra 412105, India ("Zentaro", "we", "us").

You accept these terms when you create an account, subscribe to a Service, or accept a quotation that refers to them. Browsing this website is also subject to them. If you accept them for a business, you confirm that you are authorised to do so. If you do not agree, do not subscribe to or use the Services.

2. The Services

The Services are business software delivered online as a subscription. We may improve or change a Service over time. During a period you have paid for, we will not remove the core functionality of the plan you subscribed to, and we will not remove any other feature your plan depends on without telling you in advance.

3. Your account

  • You must give accurate information when you register and keep it up to date.
  • You are responsible for the people you give access to and for keeping sign-in details confidential.
  • You must be at least 18 years old and able to enter into a contract under Indian law.

4. Subscriptions, fees and taxes

  • The price, the billing period and the taxes that apply are shown to you before you subscribe, or are set out in a written quotation we have given you. Those are the fees you agree to.
  • Fees are charged in Indian rupees, in advance, for each monthly or yearly billing period. GST is added at the applicable rate and a tax invoice is issued for every payment.
  • Payments are collected through a third-party payment gateway. We do not store your card details.
  • If we change the price of a plan, the new price applies from your next billing period, and we will tell you at least 30 days before it does.
  • If a payment that is due is not received, we may suspend the Service after giving you notice.

5. Cancellation and refunds

You can cancel at any time. Cancellation and refunds are governed by our Refund and Cancellation Policy, which forms part of these terms.

6. Acceptable use

You agree not to:

  • use the Services for anything unlawful, or to process payments for goods or services that are prohibited by law;
  • attempt to gain unauthorised access to the Services, to other customers' data or to our systems;
  • copy, resell or reverse engineer the Services, except where the law allows it;
  • interfere with the operation of the Services or place an unreasonable load on them.

7. Your data

The business data you enter into a Service remains yours. You give us permission to store and process it only to provide the Service to you.

  • Export. You can export your data while your subscription is active. After it ends, you can ask for a copy by writing to contact@zentaro.cloud from the email address on your account.
  • Deletion. After a subscription ends we delete or anonymise your data within a reasonable period. Copies in backups are overwritten as the backups expire, and security logs and records we must keep by law are retained as our Privacy Policy describes.
  • Personal data. How we handle personal data, and the responsibilities you have for the personal data of your own customers, staff and partners, are set out in the Privacy Policy.

8. Intellectual property

The Services, including the software, designs, text and the Zentaro name and logo, belong to Zentaro LLP. A subscription gives you a right to use a Service for your own business during the subscription. It does not transfer ownership of any part of it.

9. Information on this website and products before launch

This website describes products that are being prepared for public release. Descriptions of features, release dates and prices that are marked as still to be published are statements of our current plans, not promises, and may change before a product is released. A feature forms part of what you have bought only when it is available in the plan you have subscribed to. The general descriptions on this website are not an offer and are not promises that a feature is available. A contract is formed in one of two ways: when you subscribe to a Service and we confirm the subscription, or when you accept a written quotation from us in the way the quotation states. An accepted quotation forms part of the contract, together with these terms.

10. Availability

We work to keep the Services available at all times, but we do not promise that they will be uninterrupted or free of errors. We may carry out maintenance, and will give notice of planned maintenance where we reasonably can.

11. Disclaimer of warranties

The Services are provided "as is" and "as available". To the fullest extent the law allows, we give no warranty, express or implied, that a Service will meet your particular requirements, be fit for a particular purpose, or be uninterrupted, timely, secure or error-free. A specific commitment we make in your plan, in a written quotation or in a service-level agreement takes priority over this general disclaimer.

The Services are tools to help you run your business. They do not give legal, tax, accounting or employment advice. You remain responsible for your own compliance with the laws that apply to your business, including tax, GST invoicing, labour, wage and data-protection laws, and for checking that the records and documents you produce with a Service are correct.

12. Third-party services

The Services work with services run by others, including payment gateways, banks, messaging and telecom providers, hosting providers and app stores. Those services are governed by their own terms. We are not responsible for their acts, failures, delays, charges or downtime, or for a payment that a bank or gateway declines, delays or reverses.

13. Limitation of liability

To the fullest extent the law allows:

  • we are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill, anticipated savings or data, however it arises;
  • our total liability for all claims relating to a Service, whether in contract, tort (including negligence) or otherwise, is limited to the fees you paid for that Service in the 12 months before the event that gave rise to the claim.

Nothing in these terms limits or excludes liability that cannot be limited or excluded under Indian law.

14. Your responsibilities and indemnity

You are responsible for the data you put into a Service and for how you and the people you give access to use it.

You agree to compensate Zentaro LLP for loss and reasonable costs, including reasonable legal fees, arising from a claim brought against us by a third party, to the extent the claim is caused by:

  • your use of a Service in breach of the law;
  • your breach of these terms; or
  • data you entered into a Service that infringes someone else's rights.

This applies only if we tell you about the claim promptly, give you reasonable information and co-operation, and do not settle it without your agreement, which you may not unreasonably withhold. You may take over the defence of the claim at your own cost. It does not apply to the extent a claim is caused by our own breach or negligence.

15. Events outside our control

We are not liable for a failure or delay caused by something outside our reasonable control, including natural disasters, epidemics, acts of government, war, civil unrest, strikes, power or internet failures, and failures of third-party hosting, telecom, payment or banking systems.

16. Suspension and termination

We may suspend or end your access if you break these terms, if a payment that is due is not received, if your use puts the Services or other customers at risk, or if we are required to by law. We will tell you first and give you a reasonable chance to put it right, except where we must act at once to deal with a security risk or to comply with the law; in that case we will tell you as soon as we reasonably can.

After a suspension or termination you can still ask for a copy of your data as section 7 describes, unless the law prevents us from providing it. The sections of these terms that by their nature should continue after termination, including sections 7, 8, 11, 13, 14 and 18, continue to apply.

17. Changes to these terms

We may update these terms. The date at the top shows when they were last changed. We will tell account holders about a material change by email at least 30 days before it takes effect. If you do not accept the change, you may cancel before it takes effect; the terms you agreed to continue to apply until the end of the period you have paid for. Continuing to use a Service after the change takes effect means you accept it.

18. Governing law and disputes

These terms are governed by the laws of India. If a dispute arises, the parties will first try to resolve it by discussion within 30 days of one party writing to the other. A dispute that is not resolved in that time will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The parties will appoint the arbitrator by agreement; if they do not agree within 30 days of a written request to appoint one, the arbitrator will be appointed in accordance with that Act. The seat and venue of arbitration is Pune, Maharashtra, and the language is English. Subject to that, the courts at Pune, Maharashtra have exclusive jurisdiction.

19. General

  • These terms, the Privacy Policy, the Refund and Cancellation Policy and any written quotation we have given you are the whole agreement between us about the Services.
  • If any part of these terms is found to be unenforceable, the rest continues to apply.
  • If we do not enforce a right straight away, we do not give it up.
  • You may not transfer your rights under these terms without our written agreement. We may transfer ours as part of a reorganisation or a sale of our business.
